The name of the society shall be the Baltimore Academy of
Surgery.

The objectives of the Baltimore Academy of Surgery shall be:
A. The promotion of the science and art of surgery.
B. The fostering of the relationship between the community
and the academic practices of surgery.
C. The encouragement of excellence in surgical education.

Section 1. Members The Academy shall consist of Active
and Senior members.
A. Active- Members voted into the Academy prior to the age
of 65 and who remain in good standing according to the By-Laws.
B. Senior- Active members shall automatically become Senior
members after having reached the age of 65 or after retiring
from the active practice of surgery. Senior members shall
have all the privileges of Active members. No dues shall be
assessed in this category; however, a fee to defray the cost
of meals may be assessed.
Section 2. Qualifications.
A. To be eligible for membership in the Academy, a physician
must be a Doctor of Medicine or Osteopathy. B. The candidate
proposed for membership shall be certified by a Surgical Speciality
Board and shall have attained a satisfactory reputation in
surgical practice, research and/or teaching.
C. The candidate must be proposed by an active member who
shall write a letter to the Secretary-Treasurer in support
of the proposal, including a curriculum vitae and bibliography.
D. The candidate shall agree to actively support the objectives
of the Academy.
Section 3. Procedure.
A. The Secretary-Treasurer shall forward completed applications
to the Elected Officers for consideration at the next meeting.
B. The Elected Officers shall approve, disapprove, or defer
action on the application.
C. The names of candidates approved by the Elected Officers
shall be read at the next regular meeting of the Academy.
Election shall be held at the meeting.
D. A two-thirds vote of those present shall be necessary to
elect the candidate to membership.
Section 4. Dues.
A. The annual dues will be determined by the Elected Officers
so as to maintain the society in sound financial standing.
Dues will generally be used to pay for society dinners, honoraria
for guest speakers, and to cover expenses in running the Society.
B. Senior members shall not be required to pay dues.
C. The Secretary-Treasurer shall notify members of two years
in arrears, and those whose dues are not paid within sixty
(60) days thereafter shall be automatically dropped from membership.
D. The Secretary-Treasurer shall notify the Academy of such
forfeiture.

Section 1. Officers.
The Elected Officers of the Academy shall consist of the President,
Vice President, Secretary-Treasurer, and two at large council
members.
Section 2. Elections of the Officers.
A. The Elected Officers of the Academy will form the nominating
committee.
The slate of officers from the Nominating Committee shall
be submitted
at the spring meeting, and elected by the Academy at the business
meeting. Additional nominations from the floor shall be permitted.
B. The President and Vice President shall serve one year terms.
The Secretary-Treasurer and at large council members shall
serve two year terms.
C. The President shall not be eligible for immediate re-election
as President.
D. The Vice President shall be designated President-Elect.
Section 3. Duties of Officers.
A. The President shall preside at the meetings, sign certificates
of membership, and appoint committees not otherwise provide
for in these By-Laws. The President shall announce results
of the elections and perform all other duties pertaining to
his office. The President shall be an ex-officio member of
all committees, both elected and
appointed.
B. The Vice President shall assist the President in the discharge
of the duties and shall preside over meetings in the absence
of the President. The Vice President shall, whenever possible,
attend all Council meetings, and shall be Chairman of the
Membership Committee.
C. The Secretary-Treasurer shall keep the minutes of the Academy.
The Secretary-Treasurer shall notify the members of the meetings
and announce other notices of business to be transacted. The
Secretary-Treasurer also shall announce the names of candidates
for membership to be voted upon by the Academy. The Secretary-Treasurer
shall notify newly elected members of the requirements of
the By-Laws concerning admission and membership. The Secretary-Treasurer
shall serve as repository for records of the Academy.
D. The Secretary-Treasurer shall pay bills for all expenses
properly incurred by the Academy, collect all dues as promptly
as possible, and present an annual account for the membership.

Section 1. Regular Meetings.
The regular meetings of the Academy shall be three times a
year, between the months of September and June.
Section 2. Special Meetings.
A special meeting may be called at any time by the President,
and shall be President’s duty to do so upon the written
request of any ten members. The purpose of the meeting shall
be stated in the call.
Section 4. Guests. The scientific programs of the Academy
shall be open by invitation to members of the medical profession
and individuals in ancillary fields, including medical and
graduate students, unless attendance is specifically restricted
by vote of the
Academy. Any member may invite any physician in good standing
to the meeting of the Academy as an official guest. Special
guests may be introduced at the discretion of the President,
and they may, upon invitation, participate in the discussion.

Section 1. Members
The President, Vice President, Secretary-Treasurer, the ex-President
and two members at large, shall constitute the Council. The
President of the Academy shall preside at the Council meetings.
Section 2. Duties of the Council.
A. The Council shall have a general supervision of the affairs
of the Academy between business meetings, fix the date, hour
and place of meetings, make recommendations to the Academy,
and shall perform such other duties as are specified in these
By-Laws.
B. The Council shall receive all nominations for membership
and
report the approved names of candidates for election to the
Academy
after examination of credentials.

Section 1. Membership Committee.
The Membership Committee shall consist of the Vice-President,
who shall serve as Chairman, and members appointed by the
President of the Academy. It shall be responsible for the
consideration of all candidates for membership. This committee
shall review the credentials of all candidates for membership
and make recommendations to the Council. It will actively
assume responsibility for identifying qualified candidates
for membership and shall submit plans for accomplishing this
goal to the Council annually.
Section 2. Program Committee.
The Program Committee shall consist of the Council. It shall
be responsible for the scientific programs for the meetings
and shall provide for the presentation of papers and discussion
of subjects of each meeting. It shall arrange for the discussion
of scientific subjects by the members of the Academy, invite
members of the profession, either resident or non-resident,
to read papers before Academy.
Section 3. Other Committees
Other committees deemed necessary to carry on the work of
the Academy shall be appointed by the President or the Council.

The rules contained in the current edition of Robert’s
Rules of Order Newly Revised shall govern the Academy in all
cases to which they are applicable and in which they are not
inconsistent with these By-Laws and any special rules of order
the Academy may adopt.

These By-Laws may be amended at any regular meeting of the
Academy by two-thirds vote of members present, provided the
amendment has been presented in writing to the Secretary-Treasurer
and sent to all members 15 days prior to the meeting at which
action is to be taken.
